These Terms of Use (“Terms”) govern your access to and use of Mentoryn, including our website, applications, tutoring marketplace, booking tools, messaging features, payment features, lesson-management tools, and related services (collectively, the “Platform”).
Mentoryn is operated by ASHURON INC. In these Terms, “Mentoryn,” “we,” “us,” and “our” refer to the operator of the Mentoryn Platform.
By creating an account, accessing the Platform, booking or providing a lesson, purchasing a lesson or lesson plan, or otherwise using Mentoryn, you agree to these Terms.
If you do not agree to these Terms, please do not use Mentoryn.
1.What Mentoryn Is
Mentoryn is an online tutoring marketplace that helps learners and parents find and connect with independent tutors.
Mentoryn may provide tools for:
- finding and comparing tutors;
- scheduling and booking lessons;
- purchasing lessons or lesson plans;
- messaging between authorized users;
- homework and assignments;
- lesson management;
- tutor availability;
- payment processing;
- customer support; and
- other tutoring-related features.
Mentoryn is not a school, university, educational institution, employer, staffing agency, or direct provider of the tutoring services offered by independent tutors.
Tutors are responsible for the tutoring services they provide.
Mentoryn does not guarantee that a particular tutor will be suitable for a learner or that tutoring will produce any particular academic, testing, employment, professional, or other outcome.
2.Eligibility and Accounts
You must provide accurate and current information when using Mentoryn.
Adults age 18 or older may create and manage their own Mentoryn accounts.
Learners under 18 must participate through an account relationship managed or authorized by a parent or legal guardian as required by Mentoryn.
Parents and guardians are responsible for:
- providing accurate information concerning their learner;
- managing the learner’s account and permissions;
- supervising the learner’s use of Mentoryn as appropriate for the learner’s age;
- reviewing bookings and purchases;
- ensuring that the learner follows these Terms; and
- providing legally required consent where applicable.
Mentoryn may provide different permissions and features depending on the learner’s age.
For younger learners, certain communications may be directed to or made available to the parent or guardian rather than directly to the learner.
Where parental consent is legally required, including for certain services involving children under 13, Mentoryn may require parental consent before enabling applicable features.
3.Account Types
Mentoryn may provide the following account relationships:
Student or Learner
A person receiving tutoring through Mentoryn.
Parent or Guardian
An adult who manages one or more learner profiles and may search for tutors, communicate, book lessons, and make purchases on behalf of a learner.
Tutor
A person who applies to offer tutoring through Mentoryn and is approved through Mentoryn’s tutor-review process.
Submitting a tutor application does not automatically make a person an approved tutor.
Mentoryn may require tutors or tutor applicants to provide profile information, qualifications, experience, identification or other identity information, certifications, resumes or CVs, supporting application or credential documents, and other information reasonably necessary for the tutor application and review process.
You may not impersonate another person or misrepresent your identity, age, qualifications, experience, relationship to a learner, or other material information.
4.Account Security
You are responsible for maintaining the security and confidentiality of your login credentials.
You must promptly notify Mentoryn if you believe that your account has been compromised or accessed without authorization.
You may not:
- sell or transfer your account;
- share your account credentials with unauthorized persons;
- attempt to access another person’s account;
- bypass security controls; or
- use another person’s identity to access Mentoryn.
You are responsible for activity conducted through your account to the extent permitted by applicable law.
5.Tutors and Tutor Independence
Tutors using Mentoryn are independent providers.
Using Mentoryn does not by itself create an employment, partnership, agency, franchise, or joint-venture relationship between Mentoryn and a tutor.
Tutors generally control their own:
- availability;
- teaching methods;
- lesson offerings;
- subjects;
- pricing; and
- tutoring relationship with learners,
subject to Mentoryn’s Platform rules, safety requirements, and applicable law.
Mentoryn may review tutor applications, profiles, qualifications, documents, or other information before allowing a tutor to offer services through the Platform.
Approval to use Mentoryn does not constitute a guarantee or endorsement of every statement made by a tutor.
Unless Mentoryn expressly states otherwise, users should not assume that Mentoryn has conducted a particular criminal background check or independent investigation of every tutor.
Tutors may also be required to accept a separate Tutor Agreement.
6.Finding and Selecting a Tutor
Learners and parents are responsible for deciding whether a tutor is appropriate for their needs.
Tutor profiles may contain information supplied by tutors, including:
- education;
- experience;
- teaching specialties;
- qualifications;
- pricing;
- availability;
- languages;
- biography;
- photos or videos; and
- other information.
Tutors are responsible for keeping their information accurate.
Mentoryn may review, moderate, correct, remove, or request verification of tutor information but does not guarantee that every profile statement is complete or error-free.
7.Trial Lessons
Mentoryn may offer eligible learners a free 25-minute trial lesson with a tutor.
Trial eligibility may be limited, including generally to one qualifying trial between a learner and a particular tutor.
A payment card may be required to reserve a trial lesson.
The trial is free when attended.
Late-cancellation or no-show fees may apply. Any applicable fee and cancellation policy will be shown during booking before the reservation is completed.
Mentoryn may limit, suspend, or deny trial eligibility where we reasonably suspect:
- abuse of the trial program;
- duplicate accounts;
- fraud;
- repeated no-shows; or
- other misuse.
A trial lesson does not guarantee that a tutor will remain available for future lessons.
8.Lesson Prices and Purchases
Tutors may offer different lesson lengths and prices.
The applicable price, lesson duration, and other purchase information will be shown before a learner or parent completes a purchase.
Mentoryn may allow purchases such as:
- individual lessons;
- multiple-lesson packages;
- lesson plans;
- prepaid lesson balances; or
- other tutoring arrangements.
Where a tutor and learner or parent agree to a particular lesson rate through functionality permitted by Mentoryn, that rate may remain applicable until it is changed prospectively according to Platform rules.
Lesson credits or balances may be connected to specific conditions, including:
- a learner;
- a tutor;
- a lesson duration;
- a subject; or
- other purchase conditions.
Credits or lesson balances may not be transferable unless Mentoryn expressly allows it.
Applicable expiration, cancellation, refund, transfer, and usage terms will be disclosed through the Platform where relevant.
9.Subscriptions and Recurring Billing
Mentoryn may offer recurring subscriptions or lesson plans that renew automatically at the billing interval shown before purchase.
Before a user starts a recurring subscription, Mentoryn will display the material subscription terms, including, where applicable:
- the recurring price;
- the billing frequency;
- the lessons, credits, or other benefits included;
- the automatic-renewal terms;
- how to cancel future renewals;
- any applicable expiration or usage rules; and
- any introductory, promotional, or discounted pricing terms.
By starting a recurring subscription, you authorize Mentoryn and its payment processor, including Stripe, to automatically charge the payment method associated with your purchase at each disclosed billing interval until the subscription is canceled or otherwise ends.
A recurring subscription will continue to renew automatically unless it is canceled before the applicable renewal in accordance with the cancellation method provided through Mentoryn or otherwise disclosed when the subscription is purchased.
Canceling a subscription stops future automatic renewal charges. Cancellation does not automatically reverse or refund charges that have already been processed, except where required by applicable law or provided under Mentoryn’s applicable refund policy.
Unused lessons, credits, or other subscription benefits remain subject to the expiration, usage, refund, and other conditions disclosed for the applicable subscription. Canceling future renewal does not automatically extend, convert, transfer, or refund unused lessons or credits unless Mentoryn expressly provides otherwise or applicable law requires it.
If Mentoryn changes the recurring price or other material subscription terms, the change will apply prospectively. Mentoryn will provide any advance notice required by applicable law, and users may cancel future renewal before the change takes effect.
If a recurring payment cannot be completed, Mentoryn may retry the payment, request an updated payment method, suspend subscription benefits, or cancel the subscription, subject to applicable law and the terms presented for that subscription.
If Mentoryn offers a free, discounted, or promotional subscription period that automatically converts to a paid recurring subscription, the applicable conversion date, recurring price, billing frequency, and cancellation terms will be disclosed before enrollment.
Where applicable law requires additional consent, acknowledgment, renewal notices, cancellation rights, or other disclosures for automatically renewing subscriptions, Mentoryn will provide them as required.
10.Booking, Rescheduling, Cancellations, and No-Shows
Booking, cancellation, rescheduling, refund, and no-show rules may vary depending on the lesson or purchase.
The applicable policy presented during booking or purchase forms part of the agreement for that booking.
Learners and parents are responsible for reviewing the applicable rules before confirming a lesson.
Mentoryn may allow tutors different scheduling or rescheduling permissions from learners.
A tutor may be able to identify a lesson as:
- completed;
- cancelled; or
- no-show,
subject to Mentoryn’s Platform rules.
Late-cancellation or no-show fees may apply where disclosed before booking.
Mentoryn may restore credits, provide refunds, or make other adjustments according to the applicable booking, payment, cancellation, and refund policies.
11.Payments
Where payment features are enabled, Mentoryn may collect payments from learners or parents and facilitate payments to tutors through third-party payment-processing services, including Stripe.
For recurring subscriptions, you authorize Mentoryn and its payment processor to charge the payment method associated with your subscription at the billing interval disclosed when you subscribe, until the subscription is canceled or otherwise ends.
Payment-card information and certain payout or bank-account information may be collected and processed directly by Stripe. When Mentoryn uses Stripe-hosted or Stripe-provided payment and onboarding components, Mentoryn does not store full payment-card numbers, card security codes, or full bank-account credentials.
Mentoryn may receive and store limited payment-related information necessary to operate the Platform, such as:
- Stripe customer, payment, subscription, and connected-account identifiers;
- transaction amounts and currency;
- subscription and billing status;
- payment and payout status;
- card brand and last four digits where provided by Stripe;
- billing information where applicable;
- refunds, disputes, and chargebacks; and
- other non-sensitive transaction information.
Your payment information is also subject to Stripe’s applicable terms and privacy practices.
Mentoryn may deduct applicable:
- Platform fees;
- tutor commissions;
- refunds;
- chargebacks;
- payment-processing fees;
- taxes; or
- other disclosed amounts
before paying amounts to tutors.
Tutors are responsible for their own tax obligations unless applicable law requires otherwise.
Mentoryn will not charge a user for a purchase without displaying or otherwise providing the applicable price or payment terms before the user completes the transaction.
For recurring subscriptions, the recurring price, billing frequency, and automatic-renewal nature of the subscription will be disclosed before the user completes enrollment.
12.Messaging and Communications
Mentoryn may provide messaging and other communication tools between authorized users.
Communications should be used for legitimate tutoring, educational, scheduling, support, or Platform-related purposes.
Messaging permissions may depend on the learner’s age and account configuration.
For some minor learners, messages may be routed to or accessible by the parent or guardian instead of, or in addition to, the learner.
Users may not use Mentoryn communications to:
- harass or threaten another person;
- engage in grooming, exploitation, or inappropriate conduct;
- send sexual or explicit content;
- discriminate against another person;
- commit fraud;
- request passwords or unnecessary financial information;
- send malicious files or malware;
- evade parent or guardian controls;
- engage in unlawful activity; or
- interfere with Mentoryn’s safety systems.
Mentoryn may investigate reports of inappropriate communications and take action where reasonably necessary to protect users or the Platform.
13.Homework, Assignments, and Educational Content
Mentoryn may allow tutors to provide homework, assignments, notes, learning materials, or other educational content.
Learners are responsible for completing their own academic work.
Users may not use Mentoryn to engage in academic dishonesty, including:
- taking examinations for another person;
- completing graded assignments on another person’s behalf where prohibited;
- impersonating a learner;
- submitting work that violates an educational institution’s rules; or
- helping another person violate applicable academic-integrity requirements.
Tutoring, explanation, feedback, practice, and legitimate educational assistance are permitted.
14.Online Lessons and Third-Party Services
Mentoryn may provide technology that enables tutors and learners to conduct online lessons through the Platform.
Where permitted, users may also choose to use independent third-party communication or video services in connection with tutoring.
Independent third-party services are operated separately from Mentoryn and may be subject to their own:
- terms of service;
- privacy policies;
- technical requirements;
- security practices; and
- availability.
Mentoryn does not control independent third-party services and does not guarantee their availability, performance, privacy practices, security, or functionality.
Parents and guardians are responsible for determining whether a third-party service is appropriate for their minor learner.
15.Recording Lessons
Users may not record a tutoring session without obtaining all consent required by applicable law and the appropriate consent of the participants.
Where a learner is a minor, parent or guardian authorization may also be required.
Users are responsible for complying with applicable recording, privacy, and consent laws.
Mentoryn may establish additional recording restrictions or requirements.
16.User Conduct and Safety
You may not use Mentoryn to:
- violate applicable law;
- harass, threaten, intimidate, exploit, or endanger another person;
- engage in inappropriate or sexual conduct involving a minor;
- groom or attempt to groom a minor;
- impersonate another person;
- commit fraud;
- misuse payments or trials;
- upload malicious software;
- interfere with Platform security;
- gain unauthorized access to systems or accounts;
- scrape or misuse Platform data;
- infringe intellectual-property rights;
- violate another person’s privacy;
- engage in academic dishonesty;
- use Mentoryn for unlawful commercial activity; or
- engage in conduct that creates unreasonable risk for users or Mentoryn.
Mentoryn may investigate suspected violations.
Where required or appropriate, Mentoryn may cooperate with lawful requests from courts, law-enforcement agencies, child-safety organizations, payment providers, or other authorities.
17.Content You Submit
You retain ownership of content that you submit to Mentoryn.
This may include:
- messages;
- homework;
- documents;
- images;
- profile information;
- audio;
- video;
- lesson materials;
- support requests; and
- other content you provide.
You grant Mentoryn a limited, non-exclusive license to host, store, reproduce, process, transmit, display, moderate, and otherwise use your content as reasonably necessary to:
- operate Mentoryn;
- provide tutoring-related functionality;
- process bookings and purchases;
- provide customer support;
- maintain security;
- prevent fraud and abuse;
- comply with applicable law; and
- enforce these Terms and other applicable policies.
You continue to own your content.
You represent that you have the legal rights and permissions necessary to submit the content.
You must not upload:
- malware;
- passwords;
- full payment-card information;
- content you are not legally permitted to disclose; or
- unlawful material.
18.Files and Attachments
Mentoryn may allow users to upload files, homework, documents, images, or support attachments.
Mentoryn may:
- restrict permitted file types;
- restrict file sizes;
- scan uploaded files for malware;
- reject files that fail validation;
- modify or normalize files for security purposes; and
- remove unsafe or prohibited files.
Acceptance of a file upload does not guarantee permanent storage or continued availability.
Users remain responsible for maintaining copies of important documents or materials.
19.Mentoryn Intellectual Property
The Mentoryn Platform, including its software, design, branding, trademarks, logos, original text, graphics, and other proprietary materials, is owned by or licensed to Mentoryn and protected by applicable intellectual-property laws.
Except where permitted by law or expressly authorized by Mentoryn, you may not:
- copy;
- reproduce;
- modify;
- distribute;
- sell;
- sublicense;
- reverse engineer; or
- commercially exploit
Mentoryn’s proprietary materials.
These Terms do not transfer ownership of Mentoryn intellectual property to you.
20.Privacy
Mentoryn’s collection, use, storage, disclosure, retention, and deletion of personal information is governed by our Privacy Policy.
Additional notices or parental-consent requirements may apply where a learner is a minor.
By using Mentoryn, you acknowledge that your information will be handled according to the Privacy Policy and applicable law.
21.Suspension and Termination
You may stop using Mentoryn or request closure of your account through available account controls or by contacting support@mentoryn.com.
Mentoryn may restrict, suspend, or terminate access where we reasonably believe a user has:
- violated these Terms;
- engaged in fraud;
- misused trials or payments;
- created a safety risk;
- engaged in harassment or abuse;
- misrepresented their identity or qualifications;
- violated applicable law;
- compromised Platform security; or
- otherwise seriously misused Mentoryn.
Where appropriate and legally permitted, Mentoryn may provide notice or an opportunity to address the issue.
Termination does not remove obligations that arose before termination.
22.Platform Availability and Changes
Mentoryn is an evolving Platform.
Features may be:
- added;
- changed;
- limited;
- suspended; or
- discontinued.
We do not guarantee that every feature will remain available indefinitely.
Mentoryn may perform maintenance or experience outages.
We may provide notice where changes materially affect paid services or user rights and applicable law requires notice.
23.Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MENTORYN IS PROVIDED “AS IS” AND “AS AVAILABLE.”
Mentoryn does not guarantee:
- uninterrupted operation;
- error-free service;
- availability of a particular tutor;
- compatibility between a particular learner and tutor;
- accuracy of every statement made by a tutor or user;
- particular academic or educational results;
- test scores;
- admission to an educational institution;
- employment or professional outcomes; or
- uninterrupted availability of third-party communication services.
Tutors are responsible for the tutoring services they provide.
Some jurisdictions may provide rights that cannot be waived or limited by these Terms.
Nothing in these Terms is intended to eliminate those rights.
24.Limitation of Liability
To the maximum extent permitted by applicable law, Mentoryn and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to your use of the Platform.
Where applicable law permits limitation of liability, Mentoryn’s liability will be limited to losses directly caused by Mentoryn and reasonably foreseeable from the circumstances.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
25.Third-Party Services
Mentoryn may integrate with or link to services operated by third parties.
These may include:
- payment processors;
- video conferencing providers;
- authentication providers;
- email providers;
- cloud-storage providers; and
- other technology services.
Mentoryn is not responsible for the independent acts, availability, policies, content, or security of third-party services.
Users should review the applicable third-party terms and privacy policies.
26.Changes to These Terms
Mentoryn may update these Terms as the Platform evolves or as legal, regulatory, operational, or product requirements change.
When material changes are made, we may provide notice:
- through the Platform;
- by email; or
- through another reasonable method.
The date at the top of these Terms will show when they were most recently updated.
Where applicable law requires affirmative consent to an updated agreement, Mentoryn will request that consent.
27.Electronic Communications
By using Mentoryn, you agree that Mentoryn may send you transactional electronic communications relating to:
- your account;
- bookings;
- lessons;
- purchases;
- tutor applications;
- security;
- support requests;
- payments;
- Platform changes; and
- other service-related matters.
Marketing communications, where used, will be subject to applicable consent and opt-out requirements.
28.Disputes and Applicable Law
These Terms and your use of Mentoryn are subject to applicable United States federal, state, and local laws.
Nothing in these Terms limits any consumer, privacy, child-safety, or other rights that cannot legally be waived.
If a dispute arises, we encourage you to contact us first at support@mentoryn.com so that we can attempt to resolve the matter informally.
Nothing in this section prevents either party from exercising rights or remedies available under applicable law.
29.Severability
If any portion of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
30.No Waiver
If Mentoryn does not enforce a provision of these Terms immediately, that does not waive our right to enforce that provision later.
31.Entire Agreement
These Terms, together with the Mentoryn Privacy Policy and any additional terms or policies that apply to a particular service or account relationship, form the agreement governing your use of Mentoryn.
Additional agreements or policies may apply to particular account types, transactions, or Platform features, including tutor-specific terms, parent or guardian terms, payment terms, cancellation and refund policies, trial policies, and other feature-specific terms.
Where a specific agreement conflicts with these general Terms regarding a particular feature, the more specific agreement will control for that feature.
